Terms of Service

These terms govern how businesses use the Intelaris platform to find, compare and book GPU capacity.

Scope

These terms apply to every use of the Intelaris website, console and API and to every booking made through them. The contracting party is David Tadorian, Wylerweg 24, 2563 Ipsach, Switzerland, info@intelaris.ch.

Bookings, accounts and the console are not yet available. The sections on them apply once they are.

Intelaris serves businesses only. By using the platform you confirm that you act for a company, public body or other organization and not as a consumer.

Conflicting terms of the customer do not apply unless Intelaris accepts them in writing.

Role of Intelaris

Intelaris brings together GPU capacity from cloud providers that run GPUs in data centers. Your contract for a booking is with Intelaris, and you receive one account and one invoice.

The capacity itself is operated by third-party providers in their data centers. Their service terms may apply in addition to these terms, and Intelaris will show you which provider and which terms apply before you confirm a booking.

Intelaris is not a marketplace for private individuals and does not resell capacity from marketplaces or private hosts.

Account

You need an account to book capacity. You must provide accurate company and contact details and keep them up to date.

You are responsible for keeping access credentials confidential and for all activity under your account. Report suspected unauthorized access without delay to info@intelaris.ch.

Orders and bookings

A booking starts with your request, stating GPU type, quantity, duration and the country where your workloads and data should run.

Intelaris then confirms availability, provider, location and price in writing. A booking becomes binding only with this confirmation.

Capacity changes quickly. Until confirmation, availability and prices may change without notice.

Prices and invoicing

Prices are stated per GPU-hour in the currency shown in the confirmation. Taxes are added where applicable.

Intelaris invoices usage and payment is made by bank transfer. Payment terms are as stated on the invoice.

Intelaris does not hold funds on behalf of third parties. Payments to Intelaris settle your obligations towards Intelaris only.

Value added tax and reverse-charge treatment for customers outside Switzerland: to be confirmed by legal counsel.

Use of the platform

You may use booked capacity only for lawful purposes and in line with the Acceptable Use Policy, which forms part of these terms.

You may not resell or sublicense access to the platform without prior written consent from Intelaris.

Customer data and data location

You choose the country in which your workloads and data are processed. Intelaris books capacity only with providers in that country and does not move your data elsewhere without your instruction.

Where Intelaris processes personal data on your behalf, the Data Processing Agreement applies and forms part of these terms.

You remain the owner of your data and are responsible for its lawfulness and for your own backups.

Availability

Intelaris does not guarantee any level of availability of the platform or of booked capacity. Availability depends on the respective provider and its infrastructure.

Intelaris will inform you of known disruptions without undue delay and work with the provider on a solution.

Price information on the website

Prices shown on the website are for information only and are not an offer. They come from public sources of the providers and show their source and date where available.

Only the price in a written booking confirmation is binding.

Sanctions and export controls

GPUs and related services are subject to export control and sanctions law. Intelaris screens customers against applicable sanctions lists before and during the business relationship.

You confirm that you, your owners and your end users are not subject to sanctions and that you will not use capacity for prohibited end uses or in prohibited destinations. Intelaris may refuse or stop any booking that would breach such rules.

Suspension

Intelaris may suspend access, in whole or in part, if you breach these terms or the Acceptable Use Policy, if payments are overdue, if a provider or authority requires it, or if there is a risk to security or third parties.

Where possible, Intelaris will notify you in advance and lift the suspension once the cause is resolved.

Intellectual property

The platform, its software, content and brand remain the property of Intelaris or its licensors. You receive a non-exclusive, non-transferable right to use the platform for the duration of the contract.

Your data, models and results remain yours. Intelaris uses them only to provide the service.

Liability

Intelaris is liable for intentional acts and gross negligence. Liability for slight negligence, for indirect or consequential damage, lost profit and lost data is excluded to the extent permitted by law.

Intelaris is not liable for outages or failures of third-party providers beyond its control.

Scope and limits of liability, including any cap: to be confirmed by legal counsel.

Term and termination

The contract runs for an indefinite period. Each party may terminate the account at any time in writing, without affecting bookings already confirmed.

Either party may terminate with immediate effect for good cause, in particular for material breach or a sanctions violation.

After termination, Intelaris deletes or returns customer data as set out in the Data Processing Agreement.

Changes to these terms

Intelaris may update these terms. Material changes are announced in advance by email or in the console. Confirmed bookings remain subject to the terms that applied when they were confirmed.

Governing law and jurisdiction

These terms are governed by Swiss law, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods.

The exclusive place of jurisdiction is the registered office of Intelaris. Intelaris may also bring proceedings at the customer's registered office.
